1. Introduction & Acceptance of Terms
Welcome to Geo Carpentry LLC ("Company," "we," "us," "our," or "Contractor"). These Terms of Service ("Terms") govern your use of our Website (geocarpentry.com) and your engagement with our construction and renovation services.
BY ACCESSING OUR WEBSITE OR REQUESTING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, please do not use our Website or services.
These Terms apply to all customers, prospects, and users of our Website.
2. Services Provided
Geo Carpentry LLC provides the following services:
- Kitchen remodeling and renovation
- Bathroom remodeling
- Deck building and repair
- Finish carpentry and interior trim
- Home renovations and room additions
- General construction and custom builds
- Site-specific additional services as quoted
A. Service Scope
The scope of work, timeline, and cost for each project are determined by your written request/inquiry, our signed estimate or contract, and any authorized change orders.
B. Estimates & Quotes
- Estimates are non-binding unless accepted in writing
- Estimates are valid for 30 days unless otherwise stated
- Estimates assume standard site conditions
- Changes in site conditions may affect final pricing
C. Contracts
Once you accept our estimate and sign our Service Agreement, a binding contract exists between you and Geo Carpentry LLC.

Serving All of Northeast Wisconsin
We travel up to 100 miles from Green Bay to serve homeowners and businesses across the region. Don’t see your city? Reach out — we likely cover it.
3. Pricing & Payment Terms
A. Payment Schedule
Payment is due according to the schedule in your signed contract. Typical payment structure:
- 50% deposit to begin site work and order materials
- 25% upon framing/major milestone completion
- 25% upon project completion and final inspection
B. Payment Methods Accepted
- Check
- Credit/debit card (fee may apply)
- Bank transfer/ACH
- Financing through approved lenders (with your application approval)
C. Late Payments
Important: Late payments may result in suspension of work, mechanic's liens, and interest charges. If payment is 5 days late, work may be suspended. If payment is 10 days late, we may file a mechanic's lien on your property. Late payments may incur interest at 1.5% per month (18% annually) or the maximum allowed by Wisconsin law, whichever is less.
D. Additional Costs
The estimate covers work as described. Additional costs may apply for:
- Unforeseen structural damage or code violations
- Changes ordered by you (change orders)
- Permit or inspection fees if not included in estimate
- Material price increases due to market conditions
- Repairs necessary due to poor existing conditions
Change orders must be approved in writing before work proceeds.
E. Price Adjustments
If material costs increase significantly during your project (>10% increase), we reserve the right to adjust pricing with your written approval. We will provide notice and explanation before implementing price adjustments.
4. Project Timeline & Schedule
A. Timeline Estimates
Timeline estimates provided in our contract are projections based on:
- Current material availability
- Contractor and subcontractor availability
- Permit approval timelines
- Weather conditions
- Standard Wisconsin construction practices
B. Delays
We are NOT liable for delays caused by:
- Weather conditions
- Permit delays or city inspection backlogs
- Material shortages or supplier delays
- Unforeseen site conditions
- Third-party delays (utilities, inspectors, etc.)
- Natural disasters or acts of God
We ARE responsible for delays caused by:
- Contractor negligence
- Failure to order materials on time
- Inadequate crew staffing
- Poor project management
C. Timeline Modification
If delays occur, we will notify you within 5 business days and provide an updated timeline. We will make reasonable efforts to minimize delays.
D. Owner Delays
Delays caused by you (slow decision-making, access issues, changes) will extend the timeline at no cost to us.
5. Permits, Inspections & Compliance
A. Permit Responsibility
Geo Carpentry LLC is responsible for obtaining all required building permits and coordinating all inspections. Permit fees are typically included in the estimate.
B. Permits Not Included
If your project requires specialty permits not anticipated (e.g., wetland, variance, solar), additional costs may apply.
C. Inspections
We will schedule and coordinate all required city/county inspections. You are welcome to attend inspections.
D. Code Compliance
All work complies with Wisconsin Building Code and local ordinances as of the contract date. Code changes made after the contract date may require modifications and additional cost.
E. Your Responsibility
You are responsible for:
- Disclosing any property restrictions or HOA regulations
- Providing clear access to the job site
- Identifying asbestos, lead, or other hazardous materials prior to work
- Notifying us of zoning restrictions or deed restrictions
6. Site Conditions & Change Orders
A. Existing Structure
We will work with your existing structure as-is. Hidden damage (rot, mold, pest damage, structural issues) discovered during work may require additional cost, timeline extension, or modified scope of work. We will provide a written assessment before proceeding.
B. Change Orders
Changes to the agreed-upon scope require a written change order including:
- Description of change
- Additional cost (if any)
- Timeline impact (if any)
- Your written approval
NO WORK OUTSIDE THE ORIGINAL SCOPE PROCEEDS WITHOUT A SIGNED CHANGE ORDER.
C. Minor Adjustments
Small adjustments (material color changes, minor layout tweaks) within the same scope are included at no additional cost if they don't affect timeline or materials significantly.
7. Warranty & Guarantees
A. Workmanship Warranty
Geo Carpentry LLC warrants all labor and workmanship for:
- Structural work: Lifetime (defects in framing, foundation, load-bearing elements)
- Major systems: 10 years (electrical, plumbing, HVAC, roofing)
- Interior finishes: 5 years (drywall, trim, paint, flooring installation)
B. Warranty Limitations
Warranty does NOT cover:
- Normal wear and tear
- Damage from weather, accidents, or misuse
- Damage from poor maintenance by you
- Work performed by you or other contractors after project completion
- Changes you make to the property
- Settling or minor cracks in new concrete (normal)
- Paint fading or color variation (normal with sun exposure)
C. Material Warranties
Manufacturers of appliances, fixtures, and products provide their own warranties. We transfer manufacturer documentation to you at project completion. We are not responsible for manufacturer defects.
D. Warranty Claim Process
- Contact us within 30 days of discovering the defect
- We will inspect the issue within 10 business days
- We will provide a written assessment
- If covered by warranty, we will schedule repair at no cost
- If not covered, we will provide a repair quote
E. Exclusions
We are not liable for:
- Defects caused by improper use or maintenance
- Defects caused by other contractors
- Defects visible at completion inspection that you accepted
- Defects you did not report within the warranty period
8. Customer Responsibilities
You agree to:
- Provide safe, clear access to the job site
- Protect your belongings (we are not responsible for theft or damage)
- Keep the work area free of hazards
- Disclose known hazardous materials (asbestos, lead, mold)
- Make timely decisions on material selections and changes
- Be available for inspections and communication
- Make payments on the agreed schedule
- Comply with all contract terms
9. Liability & Insurance
A. Our Liability
Geo Carpentry LLC maintains the following insurance:
- General Liability: $1,000,000
- Workers' Compensation: Required for all employees and covered subcontractors
- Builder's Risk: Coverage during construction phase
Proof of insurance is available upon request.
B. Your Liability
You are responsible for:
- Homeowner's insurance on your property
- Liability for injury to third parties on your property
- Damage to your property not caused by our negligence
C. Limitation of Liability
Our total liability for any claim arising from our services shall not exceed the amount you paid us for the specific project giving rise to the claim.
We are not liable for:
- Indirect, consequential, or punitive damages
- Loss of use, loss of profit, or business interruption
- Emotional distress or inconvenience
- Damage to property not directly caused by our negligence
D. Insurance Requirement
We require you to maintain homeowner's insurance during the project. If you do not maintain insurance, you assume all risk of property damage.
10. Liens & Mechanics' Rights
A. Mechanics' Lien
Under Wisconsin law, if you fail to pay for materials or labor, Geo Carpentry LLC may file a mechanic's lien against your property. A lien gives us the right to seek payment through legal action or property sale.
B. Lien Timeline
Wisconsin allows a mechanic's lien to be filed up to 4 months after the last day of work.
C. Lien Waiver
Upon final payment, we will provide you with a signed lien waiver, releasing any lien rights.
D. Subcontractor Liens
Subcontractors may also file liens if not paid. We coordinate payments to subcontractors, but your final payment ensures all parties are satisfied.
11. Dispute Resolution
A. Informal Resolution
If a dispute arises, we encourage you to contact us first to discuss and attempt to resolve the issue.

B. Mediation
If informal resolution fails, either party may request mediation before pursuing legal action. Mediation costs are split equally between parties.
C. Arbitration & Legal Action
Disputes not resolved through mediation may go to binding arbitration under Wisconsin rules, or to small claims court if applicable. If legal action is necessary, the prevailing party may recover reasonable attorney's fees and court costs.
12. Termination of Service
A. By Contractor
Geo Carpentry LLC may terminate work if:
- You fail to make payment after 10 days notice
- You create unsafe conditions for crew
- You engage in abusive or threatening behavior
- You breach material terms of this agreement
Upon termination, you remain responsible for all work completed, materials purchased or delivered, and reasonable demobilization costs.
B. By You
You may terminate the contract by providing written notice to Geo Carpentry LLC. You remain responsible for all work completed, materials ordered or delivered, and reasonable demobilization and overhead costs.
13. Indemnification
You agree to indemnify (defend and hold harmless) Geo Carpentry LLC from:
- Third-party claims for injury or property damage on your property
- Claims arising from hazardous materials you failed to disclose
- Claims you caused by preventing our crew from completing the project
- Legal fees we incur defending ourselves against your claims
We agree to indemnify you for claims arising from our negligence or breach of this agreement.
14. Conduct On Site
A. Safety
- All workers comply with OSHA and Wisconsin safety standards
- Hard hats, safety equipment, and protective gear are required on site
- The job site is a hazardous environment; keep family and guests away during work
- Do not allow children to play on or near the job site
B. Crew Conduct
Our crew members are professional, licensed, and insured. If you have concerns about crew conduct, contact us immediately.
C. Noise & Disruption
Work typically occurs Monday–Friday, 7 AM–5 PM. If we work outside standard hours (due to permit requirements, weather, or your request), we will provide advance notice. Typical noise levels during construction are unavoidable.
15. Confidentiality
A. Your Information
We protect your personal and project information per our Privacy Policy.
B. Our Information
You agree not to disclose our pricing, methods, or proprietary techniques without written consent.
C. Testimonials & Photos
With your written permission, we may use photos of your completed project and testimonials for marketing purposes (Website, social media, referrals).
16. Independent Contractor
Geo Carpentry LLC is an independent contractor. We are not your employee, agent, or partner. This agreement does not create a partnership or joint venture.
17. Entire Agreement & Modifications
A. Entire Agreement
These Terms of Service, combined with your signed Service Agreement/Estimate, constitutes the entire agreement between you and Geo Carpentry LLC.
B. Modifications
Changes to this agreement must be in writing and signed by both parties. Verbal agreements are not enforceable.
C. Severability
If any provision of this agreement is found invalid, the remaining provisions remain in effect.
18. Governing Law & Jurisdiction
These Terms and all disputes arising from this agreement are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.
Any legal action or proceeding must be brought in the state or federal courts located in Brown County, Wisconsin. You agree to submit to the jurisdiction of these courts.
Limitation Period: Any claim arising from this agreement must be brought within 2 years of the date the claim arose, or it is forever barred.
